    more about a steady source of dividends for me

    the bigger players in consumer staples are at inflated valuations and facing just as much headwinds

    this company seems to have debt under control , so has some chance of survival in the rough times


    EagleView to Acquire Spookfish in a Unanimously Recommended Transaction Highlights
     Spookfish Limited (“Spookfish”) (ASX:SFI) has entered into a Scheme Implementation Agreement (“SIA”) with its largest shareholder, Eagle View Technologies Inc. (“EagleView”), under which EagleView has agreed to acquire all of the remaining issued ordinary shares in Spookfish that it does not already own for a cash price of A$0.08 per share (“Scheme Consideration”) (the “Proposal”).
     The Scheme Consideration values Spookfish’s fully diluted equity at approximately A$121.6 million(1) .
     The Scheme Consideration represents an attractive premium of 56.9% to the last closing price on Wednesday, 25 July 2018, 55.9% to the 15 trading day volume weighted average price (“VWAP”) and 60.9% to the 30 trading day VWAP(2) .
     The Proposal will be implemented by a scheme of arrangement (“Scheme”). The Directors of Spookfish unanimously recommend that Spookfish shareholders vote in favour of the Scheme, in the absence of a superior proposal and subject to the Independent Expert concluding the Scheme is in the best interests of Spookfish’s shareholders.
     The Scheme is subject to standard regulatory conditions, including approval from the Australian Foreign Investment Review Board (“FIRB”), certain specified arrangements not being terminated or amended (or any rights under those arrangements being waived), and other customary conditions.
     Spookfish shareholders do not need to take any action at this time. A Scheme Booklet containing information relating to the Proposal, an Independent Expert’s Report, the reasons for the Spookfish Board’s unanimous recommendation and details of the Scheme meeting, is expected to be despatched to shareholders in mid September 2018. Transaction Overview Spookfish’s Board announces that Spookfish has entered into a SIA with EagleView, under which EagleView is proposing to acquire all of the issued ordinary shares in Spookfish that it does not already own for a cash price of A$0.08 per share, by way of a Scheme. EagleView currently holds approximately 10.46% of the issued ordinary shares in Spookfish, and is Spookfish’s largest shareholder. EagleView has been instrumental in partnering with
    Spookfish to realise the commercialisation of Spookfish’s technology in the United States of America. EagleView is a leading provider of aerial imagery and data analytics and implementation of the Proposal would give it the opportunity to enter new markets and increase value in existing market segments. Board Recommendation and Benefits of the Scheme Spookfish’s Board unanimously recommends that Spookfish shareholders vote in favour of the Scheme, in the absence of a superior proposal and subject to the Independent Expert concluding that the Scheme is in the best interests of Spookfish’s shareholders. Each Director of Spookfish intends to vote all Spookfish shares in which he or she has a relevant interest in favour of the Scheme, subject to those same qualifications. The Board believes that the Proposal is compelling for Spookfish shareholders for the following reasons


    your sister might not hold SFI for long but she might crystallize a nice profit

    i see AHY has hit a new 12 month low ,

    i will probably resist buying this one for a while , i am NOT a fan of high debt levels ( but i will watch it with interest )

    Hi, I sold SFi at 7.6 and my 'advice' to my sister is to sell and enjoy the profits. I think she might have sold already but she has the midas touch. Doesn't seem to matter what she does.

    hi, not that I know much about it but my gut says ahy looks likely to remain weak for a while. the news on the earnings front doesn't seem good.

    PTL appears to have more potential for upside. The problems are one off and though sales went down, the company business seems ok.

    Again, not that I know what I'm talking about. I just committed a small amount to PTL so wait to see if my gut has any good bacteria.

    AHY is facing increasing energy costs ( for one hurdle but not the only one )

    pivotal will be if the management can reduce those costs ( without over-doing it on the debt binge )

    had AHY been lower debt some options were possible

    remember those supermarkets are squeezing suppliers margins as well

    Hi, we don't profess to know a lot about shares but I think my sister and I do know a bit. No rhyme nor reason as I said before. She said she bought SFI just because 'every dog has its day'. Now how can one argue against such silly reasons?

    NTU still going up!!

    But look at NEA. Go, baby, go!

    And Tls is hardly a penny stock but I caught a falling knife and intend to keep it for the dividend plus I've kept my eye on it and kept it quite close to the moving average.

    Some of the other penny dreadfuls are quite spectacular in their failure as well but this time I limited my exposure to less tha 3 thousand. Sigh! Live and learn.

    it is very hard to get it right every time so try for more correct moves than bad moves

    affordable moves work well for me have only played with money committed elsewhere ( in 6 months time ) once , while not a failure it did highlight certain discomforts which made the profit less enjoyable . . .. i probably won't do that again

    Hi, yes. Well said. Problem is whenever I diversify, I 'diworsified'!

    TLS was a defensive stock for me. It's doing quite nicely, actually.

    And it looks like I make money from the same few stocks.

    So, less bad moves, yeah!

    some of my 'defensive ' long term stocks have done very well mid term ( despite a bull market )

    so much so i have taken the original investment cash out .( and invested elsewhere )

    it is alway nice when a stock exceeds expectations

    very few win all the time ... but most of the time will be enough for me

    Hi, know why PTL is in trading halt?

    My share portfolio is in total turmoil today. NEA led me around in a merry circle and YBR is in the process of a hostile takeover. I sold TLS and it went up another 10 cents. But I sold them to buy NEA which went down to 1.44 before going back up and it's now 1.64

    so I took some profit so I don't freak out totally.

    It's not a bad day though it looked bad this morning!!

    Request for trading halt Pental Limited (“Pental” or the “Company”) requests a halt in the trading of the Company’s securities, effective immediately. The trading halt is requested pending an announcement concerning a new distribution agreement. The Company requests that the trading halt end on commencement of normal trading on Friday 24 August 2018, or on release of the announcement, whichever is sooner. The Company is not aware of any reason why the trading halt should not be granted, or any further information necessary to inform the market about the trading halt.

    i was at the hospital today so didn't see the ann. ( thanks for the alert )

    a crazy day for me today ( in a good way on the share market ) and full of confusion at the hospital .

    the day started super well ( SVW and SVWPA , TPM , TME , SUL , EQT among the highlights , but not all of them )

    in my opinion there is no value in the big end of consumer staples ( i don't currently hold MTS but that is not so over-priced )

    but i am looking at consumer staples as a defensive move ( while some stocks are still fair value )

    Hi, I actually sold PTL at 36 cents. There's a lot of hinky trader activity. I'm quite happy to just take the money instead of waiting for the dividend which is not much.

    i went into PTL as a long term play , but it is rather illiquid ( normally )

    so yes the sudden trading activity would seem abnormal

    i remember BKL when it suddenly 'caught fire ' and big funds suddenly had to acquire a tightly held stock , when it entered the XJO ... very educational

    Hi, buying shares can be indeed a bizarre experience. Right after I sold PTL, I was able to buy them back at 31 cents. I might pick up a few more if the opportunity presents itself.
